These Terms of Use constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”) and Innovuze Solutions, Inc. (“we,” “us,” or “our”), concerning your access to and use of the Innovuze Lunch Order App (the "App") as well as any other media form, media channel, mobile website or mobile application related, linked, or otherwise connected thereto (collectively, the “Service”). By creating an account or using the Service, you agree that you have read, understood, and agree to be bound by all of these Terms of Use. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS OF USE, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICE AND YOU MUST DISCONTINUE USE IMMEDIATELY.2. The Service
The App provides a platform where users can place orders for food and beverages from local restaurants and food establishments (“Restaurants”) and have them delivered. Innovuze acts as an intermediary, facilitating the transaction between you and the Restaurant. We are not responsible for the preparation, quality of the food, nor the delivery of the food items.
3. User Accounts
To use our Service, you must register for an account. You agree to:
- Provide accurate, current, and complete information during the registration process.
- Maintain the security of your password and accept all risks of unauthorized access to your account.
- Promptly notify us if you discover or otherwise suspect any errors, issues, or security breaches related to the Service.
- You must be at least 18 years old to create an account and use the Service.
4. Orders
- Placing an Order: When you place an order through the App, it constitutes an offer to the Restaurant to buy the selected items. An order is confirmed when you receive a confirmation notification in the App or via SMS/email.
- Availability: All orders are subject to availability. Restaurants may run out of certain items, and we will notify you as soon as possible if this occurs, offering a replacement or a refund for the unavailable item.
- Responsibility: You are responsible for the accuracy of your order and your delivery details. Any financial consequence of an error in the information you provide (e.g., wrong address) will be your responsibility.
5. Pricing, Payment, and Fees
- Pricing: All prices are displayed in Philippine Pesos (PHP) and are inclusive of VAT, where applicable. Prices are set by the Restaurants and may change without notice.
- Payment: Payment can be made via the payment methods available on the App. By placing an order, you authorize us and our third-party payment processors to charge your selected payment method.
- Fees: We may charge a service fee or other fees (such as delivery fee, if applicable), which will be clearly displayed in your order summary before you confirm your purchase.
- Taxes: Food products and delivery services are provided by their respective service providers. We only act as an intermediary, facilitating the transaction between you and the Restaurant and their delivery service. Thus, taxes related to the said services are obligations of the said service providers.
6. Delivery
- Delivery Times: We may provide an estimated delivery time based on information from the supplier or their delivery service provider, but this is not a guarantee. Delivery times are affected by factors beyond our control, such as weather, traffic, and restaurant preparation times.
- Failed Delivery: If you are not available to receive the delivery at the specified address, our rider will attempt to contact you. If we cannot reach you, we reserve the right to cancel the order without a refund.
7. Cancellations and Refunds
- Cancellations: You may cancel an order free of charge if the Restaurant has not yet accepted it or if before the cutoff time. After the cutoff time or once the Restaurant has started preparing your order, cancellation may not be possible.
- Refunds: We will process refunds for valid reasons, such as incorrect or missing items, or for orders that were not delivered. Refund requests are subject to our review and approval. We are not responsible for the quality of the food; quality-related issues should be addressed directly with the Restaurant, although we will endeavor to assist in resolving the matter. Thus, please inform immediately if a Restaurant or food supplier has issues on the food they deliver.
8. User Conduct
You agree NOT to use the Service to:
- Violate any local, national, or international law.
- Provide false, inaccurate, or misleading information.
- Use insecure password for user accounts, or storing passwords in unsafe manner.
- Harass, abuse, or harm another person, including our staff, riders, and Restaurant partners.
- Engage in any fraudulent activity, including making fake orders or misusing promotional offers.
- Interfere with the proper working of the App or the Service.
- Use the app for purposes other than ordering food items for personal consumption.
- Taking advantage of application bugs or errors to make unfair, fraudulent or unauthorized transactions.
We reserve the right to suspend, deactivate, delete or permanently ban users who violate the terms of conduct or proper use of the app, without prejudice to possible legal actions and damages, especially for criminal or fraudulent actions. We will not be liable for any damages or losses that you incur when in violation of the terms of conduct and use of the Service.
9. Intellectual Property Rights
The Service and its original content (excluding content provided by users), features, and functionality are and will remain the exclusive property of Innovuze Solutions, Inc. and its licensors. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.
10. Limitation of Liability
To the fullest extent permitted by law, in no event will Innovuze Solutions, Inc., its directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages arising from your use of the service. Our liability is limited to the amount you paid for the product or service.
11. Disclaimer of Warranties
The Service is provided on an AS-IS and AS-AVAILABLE basis. You agree that your use of the service will be at your sole risk. We make no warranties or representations about the accuracy or completeness of the App's content or the content of any websites linked to this app.
12. Governing Law and Dispute Resolution
These Terms of Use and your use of the App are governed by and construed in accordance with the laws of the Republic of the Philippines. Any dispute arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of Cagayan de Oro City, Philippines.
13. Changes to Terms
We reserve the right, in our sole discretion, to make changes or modifications to these Terms of Use at any time and for any reason. We will alert you about any changes by updating the “Last updated” date of these Terms of Use.
